Huron Expositor, 2014-02-05, Page 66 Huron Expositor • Wednesday, February 5,2014 NOTICE OF ANNUAL AND SPECIAL GENERAL MEETING The 137th Annual Meeting of the Members of MCKILLOP MUTUAL INSURANCE COMPANY will be held at the office of McKillop Mutual 91 Main Street South, Seaforth, Ontario Wednesday, March 5, 2014 at 7:00p.m. To receive, consider and approve the 2013 financial statement and auditor's report. The statement will be available on the Company's website at www.mckillopmutual.com and a member may request a copy by contacting the head office in Seaforth, Ontario at least 14 days before the Meeting. To consider and if thought fit, to adopt, with such amendments as may be made at the Meeting, those amendments to the Company's By-law 1 as are passed by the Board of Directors on February 19th, 2014. A summary of the amendments that will be considered by the Directors follows. A complete text of By-law 1 showing the amendments is available for review by all members at the head office during regular business hours, or will be provided upon request. To elect two qualified Directors for a term of three years. Any qualified member wishing to seek election must file his or her intention to stand for election in writing with the Secretary of the Company at least twenty-one days in advance of the Annual Meeting. To appoint Auditors for 2014 and authorize the Directors to fix their remuneration; By order of the Board of Directors McKillop Mutual Insurance Company Seaforth, Ontario Rob Moorehead, CIP Corporate Secretary SUMMARY OF AMENDMENTS TO BY-LAW 1 (The numeric references herein correspond with the section numbers of the General By-law) 7 Date of Annual Meeting to be as determined by Board in accordance with the Corporations Act. 10 Notice of members' meetings to be given in accordance with the Corporations Act. 12 Annual Statements to be made available to members in accordance with the Corporations Act. 16 Members not in arrears of premium payments entitled to vote at meetings. 18 Representative of insured partnership eligible to vote. 19 Applicants for insurance are not entitled to vote. 20 Number of Directors to be reduced from 9 to 6. 22 President, director of another insurer and family member of ineligible person not eligible to be a director. 25 A Director may be removed from office by special resolution of the Members. 28 If director removed from office, vacancy is to be filled. 34 President shall be chief executive officer of the Corporation. 35 Board may fix their remuneration. 38 The Board shall establish an Audit Committee" and a "Conduct Review Committee': 39 Corporation to appoint agents and set policies relating to duties. 40 Persons authorized by the Board may execute documents on behalf of the Corporation. 42(d) Deleted 43 Directors shall formulate investment policies and review same as required by the Insurance Act. 45 Risks may be reinsured in accordance with the Insurance Act. 46 47 Specific provisions dealing with insurance contracts deleted. 50 Applications for insurance to be approved by authorized persons. 52 Claims to be paid in accordance with policies determined by the Board. 53 Refunds from surplus may be paid. 54 Specific provision dealing with office operations deleted. 57 By-laws may be amended in accordance with the Corporations Act. • Section numbers of By-law to be renumbered upon Members' approval of amendments. Dates Set for Upcoming Seaforth Lions Club Events The Seaforth Lions Club fin- ished their 2013 year with a tur- key dinner for their Christmas meeting. Hosted by the Egmondville United Church, Lions' members, their spouses and widows of past members enjoyed good fellowship and a delicious meal. The club's Jan. 27 dinner meeting was held in the dining room of Maplewood Manor. Many thanks to the Maple- wood staff for their hospitality and a lovely meal. Plans for upcoming events were discussed. Over 75 per cent of our Elimination Draw tickets have been sold and early bird draws will begin in February. If you haven't yet been contacted about your ticket, contact Lion Bob Beut- tenmiller at 519-527-0282. The date for our annual TV auction has been set for Satur- day, April 5,2014. Set this date aside to bid on some great items and services donated by businesses in the Seaforth, Dublin and Mitchell areas. The ice storm oflate Decem- ber did considerable damage to the trees in the Lions Park. Damage clean-up will be done when access to the park is available, which could be awhile judging by the snow accumulation this winter. Donations of $1330 were approved for mattress replace- ment at Participation Lodge, the Easter Seals North Huron Snowarama event and to assist a local resident with urgent dental work. Tuesday, July 1, 2014, has been slated for Seaforth and area to celebrate 90 years of service to the community by the Seaforth Lions Club. Activ- ities and events are being planned and it's hoped that everyone with a connection to the club over the past 90 years will attend. News Briefs • NORTH HURON, ON - A Huron -Kinloss man is facing charges of Driving While Under Suspension following a traffic stop. Just before 11:30 p.m. on Jan. 27, a Huron County OPP officer was patrolling on Amberley Road in Whitechurch when he observed a GMC Sierra driving on the closed roadway. After stopping the driver, the officer completed a driver's licence check and it was revealed the driver currently held a suspended driver's licence. His motor vehicle was then towed from the scene. The driver is set to appear in Ontario Provincial Offences Court in Goderich on April 1. Fleeing driver charged with drug possession A 19 -year-old Morris-Turnberry resident who fled police in his Suzuki Sidekick and slid into a snowbank in Brussels faces criminal charges following his arrest on Jan. 18. At 12:30 a.m., a Huron OPP officer observed the driver run a stop sign at the intersection of Sports Drive and Turnberry Street. The officer activated his emergency lights and siren but the driver turned onto Turnberry Street and accelerated. A short distance away he lost control and slid into a snowbank on Queen Street. The driver was arrested for failing to stop for police and dangerous driving. A small amount of marijuana was found in the vehicle and he was charged with possession of marijuana. As a Class 02 License Holder, he was also ticketed for driving with a blood/alcohol concentration above zero. His driver's license has been suspended for seven days and his vehicle impounded for 45 days. • GODERICH, ON — Huron County OPP officers are currently trying to locate the driver of a sedan that left the scene of a collision. At approximately 11:15 a.m. on Jan. 29, police were alerted to a collision by the driver of a grey Buick Enclave. The driver reported he had been traveling northbound on Cove Road, near St. Christopher's Beach, when a southbound vehicle collided with his SUV, causing minor damage. He went on to explain both drivers had spoken briefly, but when the caller decided to call the police, the suspect driver left the scene, failing to exchange vehicle and insurance information. The vehicle that failed to remain at the scene is described as a white, mid-sized, four door sedan. It sustained damage to the driver's side rear corner panel. The suspect is described as a Caucasian male, approximately 25 years of age, medium height, slim build, with dark hair. A medium sized dog was in his vehicle at the time of the crash. Any person with information regarding this incident should immediately contact Huron County OPP by calling 1-888-310-1122 or 519-524-8314. For those wishing to remain anonymous can call Crime Stoppers at 1 -800 -222 -TIPS (8477), where you may be eligible to receive a cash reward of up to $2,000.
