ROSS Anyone paying high interest on a mortgage more than five years old should see a lawyer about the possibility of renegotiating with only a three month interest penalty. The story is all too familiar Mr. and Mrs. McNamara renewed thcir mortgage in July, 1982 for three years at 19" per cent. When the interest rates plummeted to 13 per cent, the McNamaras asked to rene- gotiate their mortgage with the mortgage company, They were told they would have to pay more than $S,000 - the interest that would have been paid for the full' three year term. After a visit to their lawyer, the McNamaras learned that an Ontario statute. The Mortgages Act, R.S.O. 1980, c,296 and in particular' section 17 (1) of that Act provides that any mortgagor has the right to prepay their mortgage with only three months interest penalty where part of the • principal balance of the mortgage 'is not payable until fiveyears after the "date of the mortgage.' The difficult question was, what is the "date of the mortgage?" Was it the date that the McNamara's signed the original mortgage document or was it the date they signed their Mortgage Renewal Agree- ment? If it was the date of the original mortgage, which was five years prior to their renewing the mortgage in .duly. 1982, then the new three year term together with the original five years gave their mortgage a total term of eight years. The McNamaras would be able to prepay all of the principal Owing in the three year renewal with a payment of only three months interest --not the $5,000 interest that would. have been payable over that three years. If, on the other hand, the "date of the mortgage" was the date the Mortgage Renewal Agreement was signed, then the term of the mortgage was only three years and the McNamaras would be locked in at the higher interest rate with no right to prepay the mortgage or renegotiate al a lower interest rate. Confused? The Ontario Court of Appeal answered the question in a''1980 decision. Deeth v. Standard Trust Cl`, (1980) 12 R.P.R. 157, The "date of Ate mortgage" has been defined as the,.fdate of the execution of the original mortgage doEument, rather than any other .date such as the date of the Mortgage Renewal Agreement. Since this decision many of the lending institutions changed their M,srteaoc ' newal Agreement forms and included a clause that has the effect of contracting out of the provisions of The Mortgages Act. These clauses will vary slightly :n their wording but will be similar to the following: "I understand that there is no right of premature payment and any statutory right of repayment shall take t'hi'ef es :/ the mortgage has been dated on the date n/ ibis Agreement.- (Emphasis is mincl The McNamaras were successful how- ever, because they had signed one of the old Mortgage Renewal Agreement forms that did not contain such a clause. The McNamaras were happy. They renegot• iated their mortgage 'at the lower interest rate, reduced their monthly payments by $182 per month and were spared having to pay 15.000 to pay out the mortgage. But where does this leave try mortgagor who has renewed his mortgage and signed a Mortgage Renewal Agreement with the new clause inserted? Once again, the decision of the Court in the Deeth Case seems to solve the problem. Notwithstanding the wording contained in the Mortgage Renewal Agreement the Court determined that whatever may be the effects of the later Agreement. either as an Agreement for a Loan or as a Mortgage Extension Agreement or as an amendment of the mortgage, the Court stated: "what one must look to is the original mor,gagt . the only ntorrgage which is in existence. If the tale. of the McNamaras sounds, similar to your own, get that original mortgage out of mothballs together with any renewal agreements you may have signed and take them to your lawyer. You may come within the bounds of the Deeth decision and discover that you arc protected by The Mortgages Act. You nsav have the right to prepay that mortgage with only three months interest penalty and thereby he able to renegotiate your mortgage at today's lower interest rates. One final note • an ounce of prevention is worth a pound of cure my grandmother always told me, A mortgage is a contract between the borrower. the mortgagor. and the lender, the mortgagee Mortgage documents and Renewal Agreements con• tain many clauses and conditions that are worded in such a way that even the highly skilled lawyer has difficulty comprehending them. Before signing a mortgage or an Agreement to Renew a Mortgage, have your lawyer go over the document with you.
