Details of Canada's trade for the five months ended August 31 lase show a very large expansion compared with the same period in 1903. The imports into Canada from the West Indies up to August 31 amounted to $3,- 106,64G, a gain of $330 922 compared with 19055 and of $675,143 compared with 1904. The exports to Canada from the West Indies totalled $1,070 965, showing gains of $187,274 and $178,814 wehn con- trasted with the same period of the two years immediately preceding. Whereas the promoters of a certain Com - name sof bTliecor Wingham Carriage corporate Limited,or such other name as shall he approv- ed by the Lieutenant Ctovernor in Council, hove proposed to the Carmen of the Municipality of the Town of Wing - hem to establish a factory in the said 'town for the manufacturing of carriages, weggous and various vehicles and other armies of alike nature and have requested the said Council to aid them in the establielr 3neet thereof by the grant ora loan of $5000, to be repaid in ten annual instalments of $800 eaeh, without interest, commencing in one year from the day of the issue of the deben- tures herein mentioned, and byfixing the amount of the assessment of the said establish- ment for tee years. And whereas In consideration of said aid it has been agreed that the said Company shall erect in the said Town of Wingham a suitable brick factory two storeys in height and of di- ineouious of at Ieast 10 by 80 feet and shall in- stall therein, plant and machinery necessary tor the carrying on of their business, and the Whole manufacturing establishment to be of the value of at least $10000, and shall in the first and seeoud years after the said plant is in operation employ aud peep employed an aver- age of at least twenty hands therein and after- wards during each suhsequeut year of the said term shall employ an average of at least ttventyfive hands; (each of said hands to be employed therein for an average of ten mouths during ench year) and shall during such term continuously operate the said factory, save when prevented. by strike, accident, or un- avoidable o..$ualty, And whereas it has been further agreed that the said Company 50 to be incorporated shall have a capital stook of $7,000, of which the whole shall be actually, paid up before the said loan is sdvauced and that said Company shall not either by itself. its successors or assigns or by or through any other Company, firm or person carry on the same or a like business in any part of the Dominion of Canada during the term of said loan. Aud whereas it iris been further agreed that the said (tontpeny shall enter into an agree- ment with the said Town for the performance of the said terms and conditions and shall se- cure the due repayment of the said loan and the due performance of the said terms Rud conditions by a first inortgage upon all the said factory buiidinga, machinery and plant and Lands used in connection therewith and for the purposes thereof and by insuring tate said buildings, machinery and plant in favor of the said Towu in such Companies as shall be ap- proved of by the said Town and by policies which shall contain what is known as the mort- gage clause if required by the said Town. ?aid whereas it is expedient to grant the said aid sub4 air t to the said t emus. And whereas in order thereto it will be necessary, to issue the Debentures of the Town of Wingham for the sum of $5000, as herein- after provided (which is the amouut of the debt intended to be created by this By -Law) the proceeds of the said Debentures to be ap- plied to the said purposaa and no other. And whereas the total amount required by the Consolidated Municipal Ant of 1903 to be raised annually by apeeiat rate for paying the said debt and interest as hereinafter provided is 3081.00 whereof $225 is to be raised annually for payment of the interest during the cur- rency of the said debentures and $103.00 is to be raised annually for the purpose of creating a siutting fund for the payment of the debt se- cured by the aaid debentures. Aud whereas the amount of the Whole rate- able property of the, Town of Wingham ae- cording to the last revised assessment roll thereof is $085,002. And whereas the amount of the existing de- benture debt of the said Muateipality is $137,- 424, (exclusive of local improvements, debts se- cured by special acts, rates or assessments) whereof no principal or interest is in arrears. Therefore the Municipal Council of the Cor- poration of the Town of Wingham enacts as follows: - 1 The Municipal Council of the said Town of Wingham shall grant and pay over to the said TheWingham Carriage Company so to be incorporated whether under that or such other name as may be approved as aforesaid immediately upon the said factory being com- pleted and the said plant installed therein and the said agreement and mortgage duly execut- ed and delivered, the sum of $5000 without abatement by way of loan to aid them in their said enterprise and to be repaid by the said Company as aforesaid. 2 Fur the purposes aforesaid the Mayor of the said Towu of Wingham shall cause deben- tures of the said Town of Wingham to be is- sued, which said debentures shall not be less titan One hundred Dollars each ; such deben- tures shall be sealed with the seal of the Cor- poration of the Town of Wingham and sliall be signed by the Mayor or other acting head of the Corporation and also by the Treasurer thereof. 8 The said debentures shall bear date on the first day of May,l(•07, and shall be issued on the day of thedate thereof and shall be made pay- able in ten years from thesaid date at the Office of the Treasurer for the time being of the said Town of Wingham and shall have attached to them coupons for the payment of interest, 4 The said debentures stall bear lutereat at the rate of four and one half per centum per annum from the date thereof, and said inter- est shall be payable annually on the 31st day of December iu each year except the last payment of Interest which shall become due anti pay- able on the day on which the Debentures are plac©ble; where tinterest sdebenturesaareamnade payable. 5 During the currency of the said Deben- tures there shall be raised annually by special rate on all +ire rateable property in the - said Town of Wingham the sum of $22.5, for pay- ment of interest on said debentures and the sun. of $40300 for the purpose of creating a sinking fund for the payment of the debt here- by secured, making in all the payment of $03180 to be raised annually by special rate as aforesaid during each of the said ten years. 6 And the said Municipal Council of the Corporation of the Town of Wingham do here- by further enact, that the said manufacturing establishment so to be erected by the said Company including all lands, buildings and machinery connected therewith and used for the said manufacturing purposes be assessed at $2000, except as to school rates for the period of ten consecutive years commencing with and including the year 1907 so loug as the said es- tablishment shall be operated in accordance with the terms. conditions and restrictions hereinbefore referred to. 7 This By -Lew shall take effect on the day of the final passim; thereof. 8 Tlhe vote of the electors of the said Town Of Wingham shall be taken on this By -Law at the following tinges and places, that is to say, on Monday, the Seventh day of January, IOo7, commencing at the hour of Nine o'e.toek in the forenoon and 'ontenning until Five o'clock in the afternoon of the said day by the following deputy returnin,t ofii^_ers aad petl clerks: In Ward Oar, at J.A.
