Toronto Telegram. July 5. Judge McMahon had a flue tangle to unravel when the troubles of the rival factions of the Lucknow Elevator Com- pany came before him. His decision still leaves the contending forces to fight their issues to a finish in the foram of the shareholders meeting. Some of the conditions only are changed. Five years ago some of the enterprising farmers of Lucknow started a $5 subscription list to establish a local elevator to promote the Lucknow grain trade. A company was formed, and with $1,000 borrowed on a mortgage, the elevator was established. A local syndicate was formed to run the elevator. The first year they lost money. Since then there has been a profit. Jos. S. Meyers has not been satisfied with the outcome and started in to secure a controlling interest and induced cer- tain stockholders to turn 126 shares over to him. This did not give bin/ control and the meeting of shareholders ap- proved of the arrangements made with the syndicate. Tlien Meyers went to law. He called for an accounting by the syndicate, that certain supplementary letters patebt be revoked, and that the shares assigued by various parties to him be transferred without the 50 cents a share called for by the secretary -treasurer of the company. Judge McMahon holds that the man- agement of the elevator has been satis- factory, has added to the prosperity of Lucknow, and that there is nu cause of action against the syndicate. The sup. plementary letters patent to enable the company to increase its capital are, how- ever, irregular, and are declared invalid. The company is ordered to transfer the assigned shares to Meyers without charge and to pay certain costs.
