Victoria and Grey Trust Com-

under the provisions of The
Loan and Trust Corporations
Act ,of Ontario, in accordance
with an agreement dated July
27,11365.
Under the statutory provisions
the existence of the two amal-
gamating corporations is eon -
tinned, in, the amalgamated com-
pany. The -financial statements
of the amalagamated company
have been prepaKed so as to
reflect the substance of the am-
algamation, which was the ac-
quisition of the assets of British
Mortgage &. Trust Company in
consideration of the assumption
of its liabilities and the issue
to its shareholders of 50,712
shares of Victoria and Grey
Trust Company.
The consideration so given ex,
ceeds the amounts allocated to
tangible assets by $5,158,873. To
the extent that this amount is
net recovered upon realization
of tangible assets acquired from
British Mortgage & Trust Com-
pany, it ,will be charged against
future earnings. ,
Bonds,i short- term notes,
stoelts, collateral loans, mort-
gages and real estate held for
sale are reflected in the balance
sheet at the amounts remaining
after deducting 'allowances for
