The Transferee will assume all assignable agreements related to the use of the property asso- ciated with the subject lines such as leases, licences and siding agreements. Upon completion of the transaction contemplated in the Asset Purchase Agreement, the Con- veyor and the Transferee have agreed to execute an Operating and Marketing Agreement and a Trackage Rights Agreement. Pursuant to the Operating and Marketing Agreement, the Transferee intends to provide a level of rail freight service commensurate with the customer needs and traffic offerings. The Conveyor will, to best of its ability, continue to supply car equipment required for the current and future level of traffic. Traffic will be interchanged twice a day at Stratford, five (5) days a week, except on holidays unless mutually agreed otherwise. Both parties have agreed to cooperate and use their best efforts to coordinate their marketing efforts on the lines. The Conveyor has also agreed to make certain yard trackage at Stratford available to the Transferee for the interchange of traffic. The terms governing train operations over and maintenance of the interchange trackage at Stratford are, set out in the Trackage Rights Agreement. The Conveyor and the Transferee have agreed that upon submission of the Asset Purchase Agreement to a governmental or a regulatory authority, for example the Agency, to request that the authority "... preserve the confidentiality of the business sensitive portions of the Agreement." Further particulars of the Asset Purchase Agreement or the Notice may be requested from the Agency. Any instructions on filing an intervention may also be requested.
