WHEREAS pursuant to subsection 158 (2) of the NTA, 1987, the Conveyor, on February 22,
1991, gave notice in writing of the above-cited agreement, dated October 29, 1990, to the Na-
tional Transportation Agency (the Agency).
WHEREAS subsection 158 (3) of the NTA, 1987 provides that: "Within six months after the re-
ceipt of a notice under subsection (2), the Agency shall, after holding such hearings, if any, as
are required in its opinion to enable all persons who wish to do so to present their views on the
conveyance of the line of railway or segment, approve the agreement for the conveyance, un-
less the Agency determines that the conveyance would not be in the public interest or that the
company to whom the line or segment is to be conveyed is not authorized to operate it."
TAKE NOTICE THAT all persons who wish to present their views on the conveyance may do
so in writing to the Agency, only on the grounds outlined in subsection 158 (3) of the NTA,
1987. A, intervention, if made, shall be filed with the Secretary of the Agency not later than
thirty (30) days from the date of this Notice, together with the Conveyor at the following ad-

effected when the document is received by the Agency not later than the date specified in the
public notice for tiling of interventions. The only exception to this rule is when an intervention

The conveyance of ti,e subject lines to the Transferee, a provincially incorporated railway com-
pany which is a wholly owned subsidiary of RailTex Inc., an American company which owns and
operates eleven short line railways in the United States, will be effected by a payment to the
Conveyor on the closing date of the Asset Purchase Agreement. The Conveyor's labour
agreements and all its rights to oil, gas and mineral resources related to the conveyed property
are excluded from the Asset Purchase Agreement.
The Transferee will assume all assignable agreements related to the use of the property asso-
ciated with the subject lines such as leases, licences and siding agreements.
Upon completion of the transaction contemplated in the Asset Purchase Agreement, the Con-
veyor and the Transferee have agreed to execute an Operating and Marketing Agreement and
a Trackage Rights Agreement. Pursuant to the Operating and Marketing Agreement, the
Transferee intends to provide a level of rail freight service commensurate with the customer
needs and traffic offerings. The Conveyor will, to best of its ability, continue to supply car
equipment required for the current and future level of traffic. Traffic will be interchanged twice a
day at Stratford, five (5) days a week, except on holidays unless mutually agreed otherwise.
Both parties have agreed to cooperate and use their best efforts to coordinate their marketing
efforts on the lines. The Conveyor has also agreed to make certain yard trackage at Stratford
available to the Transferee for the interchange of traffic. The terms governing train operations
over and maintenance of the interchange trackage at Stratford are, set out in the Trackage
Rights Agreement.
The Conveyor and the Transferee have agreed that upon submission of the Asset Purchase
Agreement to a governmental or a regulatory authority, for example the Agency, to request
that the authority "... preserve the confidentiality of the business sensitive portions of the
Agreement."
Further particulars of the Asset Purchase Agreement or the Notice may be requested from the
Agency. Any instructions on filing an intervention may also be requested. All correspondence
with the Agency should be directed to the Secretary by hand delivery or courier at the National

Agreement to a governmental or a regulatory authority, for example the Agency, to request
that the authority "... preserve the confidentiality of the business sensitive portions of the
Agreement."
