New rules
established
The Ontario Securities Commission
has decided to require the delivery of
a special disclosure document to in-
vestors considering borrowing to pur-
chase mutual funds.
The disclosure document describes
the risks of borrowing to invest
(leveraging).
The obligation to furnish the docu-
ment will be applicable to mutual
fund dealers other than financial in-
stitution registrants. The obligation
will not be applicable to registrants
who are members of the Toronto
Stock Exchange or registrants selling
mutual funds through direct mail
solicitation.
The obligation is applicable when
the sales person has reason to believe
a prospective purchaser of mutual
funds is considering borrowing in con-
nection with his or her mutual fund
purchase.
As part of the commission's pro-
gram to warn investors of the risks of
undue leveraging, the Deputy Direc-
tor of Enforcement has brought such
risks to the attention of investors
through the media. In imposing the
special requirement that the
disclosure document be delivered to
prospective investors, the commis-
sion is responding to the strong
representations of the Investment
Funds Institute of Canada and others
that the practice of leveraging mutual
fund purchases is increasing.
The Deputy Director of Registra-
tion is writing to mutual fund dealers
and salespeople reminding these
registrants that their obligation to en-
sure a transaction is suitable for a
prospective purchaser includes an
assessment of the appropriateness of
borrowing to fund the purchase.
The salesperson is also reminded
that the delivery of the disclosure
document does not diminish or
substitute for the registrants'
responsbility to properly discharge
the suitability obligation.
