A 13y --law authorizing the payment
annually, for a otrrod of ten years, of
the sum of Three hundred dollars to the
Jackson Manufacturing Cornpanv of
Clinton, for the rent of a factory prem-
ises in the Village of Exeter, granting
the said Company Exemption from Mun-
icipal taxation (except for certain pur-
poses) and free water service for a per-
iod of ten yearn, and authorizing the
payment to the laid Company of the
aunt of Two hundred and twenty-five
Dollars for a gasoline engine.
Whereas the said Jackson Manufactur-
ing Company are desirous of opening
a branch of their cloth' ,g manufactur-
ing bus'nees in the Village of Exeter,
and for that purl.oye have applied to
the Munfc'pai Conteh of the said Village
of Exeter for certain payments, exemp-
tions and corecese'one which are set out
and detailed in an Indenture of Agree-
ment bearing date the sixth day of Dec-
ember, 1900, made and entered into by
and between the said Company and lite

the words and figures following, that

into this sixth day of December, A. D.

The Jackson Manulac•turing Company
of Clinton, Ontario, (hereinafter called
thf Company) of the first part. and
The Munlclpal Council of the Village
of Exeter, (hereinafter called the Cor-
poration) of the second part.
WHEREAS the above named Company
la an Industria Company having an es-
tablished business lt, the Town of Clin-
ton for the manufacture of clothing. and
being desirous of opening a branch of
their eald )ueincee in the said Vhiage
of Ezetcr, have applied to the said Cor-
porntion for the payment to the said
Company. annually for the period of ten
years of a sum riot exceeding three
hundred dollars as the Company snail

as a factory, In the said Village of Ex-
eter. and further have applied to the
bald Corporation for exemption from

purpose' have consented to grant the ap-
plication of the said ('ontpany, subject
of course to the sanction and approval
ut ratepayers.
NOW THEREFORE THIS AGREE-
MENT WiTNESSETiI that the said Cor-
poraticn hereby agrees to pay to the
company annually tor the period of ten
year" such aunt as the Company shall
. i annually for rental of premises

year) and to grant them exemption from
Municipal taxation except -for school
purposes and special frontage taxes, for
a period of ten years, and free water
service for a like period, and to pay
to them the said aunt of two hundred
and twenty-five dollars for the pur-
chase of a gasoline engine for their
said factory, upon the following terms
and conditions;
1. The said Company agree to estab-
lish a branch of their said manufactut-
Ing business in the bald Village of Exe-
ter In the premises known as 'The B.
Pickard Co. Store" situate on part of
Lot Number Twenty-five on the East
side of Main street, or such other suit-
able premises as the Company may be
able to oblal,t a satisfactory lease of
and to have the Low fully equipped. as
a factory for the manufacture of cloth-
ing and to have said factory In opera-
tion not later than the first day, ot Feb-
ruary. 1910, and by the close of the
year to 'cave not less than twenty -rive
employees at work therein.
2. The said Company agrees to jn-
stall in the premises within eighteen
months from the first day of February
1910, machinery, plant and equipment
to the value o1 at bast two thousand
dollars.

ate and contlnue in operation their said
factory for a pert -ad of ten years, com-
ntencing on the drat day of F'ebruat y.

4. The said Company agree to em-
ploy and keep employed In their said far
tory and upon the premises occupied by
them. for and during the first year of
t.a. said term, at least twenty-five em-
ployees, and for and during the second
and each subsequent year an average
of at leant forty employees, computation
of such average in any year to be based
on the number of employees of the com-
pany at said factory during the years
that shall have elapsed excepting the
first.

between the parties hereto that t he said
yearly sum of three hundred dollars so
to be paid. by the said Corporation t•

lows.—The firer yearly payment on the
first day of February, A. D. 1911. and
eubscqueot payments yearly thereafter
but the salt Corporation shalt be and
are hereby empowered_ to withhold pay-
ment of the said yearly sums or. any of
then, 11 the said Company fail In the
Performance of any part of this agree-
ment on their part to be performed.
7. it to hereby further agreed that
the said exemption from Municipal tax
ation hereby granted by the said Cor-
poratl0n to the said Company sha)l,wlth
the exceptions aforesaid. extend to and
include taxation on their Manufarturtng
buslness. for business aesresrnent) their

be used and occupied be them as afore-

the said Company fail in the perform
anee of any part of this agreement, in
their part to be performed. The Bald

8. It Is further agreed that the free
water service so to be supplied the said
Company shall be of such service as the
said Corporation shall be enabled to
supply by their system of water works
now being installed, the said Company
to make all necessary and proper con-
nections with the Corporation's said eye
tem and to pay for such connections and
the maintenance thereof.
9. And it ie further agreed that the
said sum of two hundred and twenty-
five dollars so to be paid by, the . said
Corporation to the said Company for the
purchase of a gasoline engine for their
said factory shall become due and be
paid 011 the fifteenth day of May, 1910.
10. The said Company further agree
to deposit wit:t the said Clorporation the
sunt of seventy-five dollars, which sunt
Is to defray the expenses of submitting
a by-law to the ratepayers of the said
Corporattpn hereinafter mentioned,
should such by-law carry and the said
Company fall to carry out the tears
of this obntrae(. But should the said
by-law be carried and the said Company
carry out the conditions of this agree-
ment, or should the said by-law be de-
tested then the said aunt 1. to be rr-
returned to the said (',onnpany.
11. This agreement is entered Into
upon the understanding that the said
Corporation will submit to the ratcpay-
ers of the said Village of Exeter, a by-
law authorizing the said Corporation to
make the said payments and to grant
the said exemptions; and this agreement
is therefore subject to the said by-law
being carried by the said ratepayers In
accordance with the provtelone of the
Ontario Municipal Act.
12. And It ae also agreed and provid-
ed that any ccassatlon of operations
due to any rause not in the control of
the Company shall not tee deemed a
breach of the provisioner of this agtee-
trent.
IN WITNESS WHEREOF the said
parties of the first part have hereunto
set their hard and oral and the said
Corporation has affixed their Corporate
Seal and the hand of their Reeve and
Clerk.

THEREFORE the Municipal Cou; cit of
the Corporation of the Vll:age et Ere -
ter enacts as follows,-
