WDH board of governors discusses restructuring By Jim Brown Wingham Advance-Times The Wingham and District Hospital Board may soon be reduced. Governance and Nominations Committee Chairman Judith Gaunt brought a proposal to the January meeting. of the board that would reduce the size of the board to 13 members from the current 17. However, under the proposal, rep- resentation across the same geo- graphic regions of the hospital's catchment area will be maintained. Boards are most effective with between nine and 14 members, the report states. A board may not have the breadth of experience or knowl- edge if there are less than nine mem- bers. If there are more than 14 mem- bers, the board may lose its focus and form sub-groupings. The proposal for board restructur- ing would provide flexibility to acquire board members who may not be eligible under the geographic distribution criteria by increasing the number of at-large members: To maintain the stability of the board, the size would be reduced through attrition and retirement over a two-year period. Gaunt adds it is important to keep board membership at an uneven number to avoid tied votes, which reduces the effectiveness of the board. While the geographic areas would still be represented, the number of directors-at-large would increase from one to three and the number of ex-officio members would remain at four. The ex-officio members include the hospital's chief of staff, the pres- ident of the medical staff, the presi- dent of the hospital auxiliary and a representative from the Twp. of North Huron council. DISCUSSION Board member Verna Steffler of Wingham said she had no problem with the representation. She feels the A man contacted Huron OPP over the theft of a snowmobile on Feb. 3 at 12:15 a.m. The victim told police that he had parked his 1997 yellow Ski-doo MXA behind the Brussels Country Inn on Turnberry Street that night at 11:30 p.m. and found it missing at 12:10 a.m. Tracks indicated that the snowmobile had been driven away. directors at-large should remain at one for a total membership of 11. "Eleven is enough for a 50-bed hospital," she said. Under the proposal there would be three directors for the Central Zone which includes Wingham, Blyth and East Wawanosh; one representative for each of the Western Zone (Lucknow, Kinloss, West Wawanosh and Ashfield), the Southeastern- Zone (Brussels, Turnberry and Morris) and the Northeastern Zone (Teeswater-Culross and Howick). Board member Mary Lou Cameron said it is important to keep the regional representation. Gaunt presented two motions to the board which were passed. The first motion provides that for- The owner did tell police that he had left the keys in the ignition. Later that night the abandoned snowmobile was discovered. No damage was done to the machine. Police have no leads. If anyone can help in solving this crime please call the Huron OPP or Crime Stoppers at 1-800-222-8477 (TIPS). mal documentation be prepared reflecting the proposed changes in the corporation bylaws. Copies of the changes and written notice of intention to amend the bylaws will be sent to the directors. The second motion states that a cover letter and a copy of the com- mittee report be sent to the councils of the municipalities of North Huron, Morris-Turnberry, East Huron, South Bruce, Howick, Huron-Kinloss and Ashfield- Colborne-Wawanosh for their infor- mation. It is hoped to pass an amendment to the bylaws regarding the compo- sition of the board. The amendment would read that the board shall con- sist of nine elected directors, four ex-officio directors and the elected directors shall be nominated by the Governance and/Nominations com- mittee. Additional nominations may be made from the floor by residents of a specific geographic zone or by any corporation members for the position of director at-large. Gaunt said the amendment will be discussed formally at the February •meeting of the board. If approved, it will then go to the, board's annual meeting in June. If approved, the amendment would be effective immediately. If rejected at the annual meeting, the composition of the board will remain as it is presently.
