HURON AND KINLOSS MUNICIPAL TELEPHONE SYSTEM

COOPERATIVE CORPORATION

com order to comply with the Telecommunications Act, the Huron .and Kinloss
.
Municipal Telephone System is required to be a share capital corporation.
;In the past, the' system operated more or less as an unincorporated group of telephone users. It was begun as a
community based undertaking in 1911 by the people of the area who could not get service without taking charge of .
their own telephone system.
-The Commissioners of the system and the Township of Huron publicly endorsed the plan to incorporate as a co-
operative corporation and issue shares to customers/members at a public meeting held for the users on August 8,
1994. In endorsing the co-operative structure, the Commissioners and the Township acknowledge that the system was
begun 83, years ago by the individual users of the service and property should remain .in the control of INDIVIDUAL
USERS.
WHAT DOES THIS MEAN TO HURON AND KINLOSS TEIALEPHONE USERS?
THERE WILL NOT BE AN INCREASE !N RATES AS RESULT
OF INCORPORATION OR ANY CHANGE TO PLANS TO.CONTINUE MODERNIZATION OF THE SYSTEM!
The Huron and Kinloss Municipal Telephone System is proud of its history and in, the fact that rates have not
increased in the last 15 years. The headquarters of the system will remain in Ripley where it has been for 83
years. and the company will continue to purchase supplies and services from local business, as well as being
reactive to the needs of its users by being directly responsible to them.
The Huron and Kinloss. Municipal Telephone system will not be the only telephone co-operative! A total of six
area systems have agreed to the same course of action and more than 250 currently exist in the United States.
A co-operative is a limited liability corporation controlled by its customers/members. This recognizes, in the
best way possible, the early beginnings of the system and continues to respect INDIVIDUAL participation in the
direction of the system. As a co-operative corporation, the system will reflect the interestsof users in the
community and not financial interests outside the area. •
Customers will become members and acquire a member share. certificate for a nominal cost of $1.00. To
become members, you will be required to l`ill out a member application. Then, regardless of the telephone
exchangeserved by the company, the member will have the ability to vote for an elected board in the same
manner as they. did previously. Membership will also allow customers/members to share in patronage
dividends when they are declared. As the procedures necessary for the formation of the co-operati r ...
corporation are completed, every customer will receive a membership package by mail. The package will
include an application form and the required disclosure statement providing full information(relatingto the
conversion, operation and management of the system under the new structure.
We at Huron and Kinloss Municipal Telephone System are very excited abourthe continuing future of the
system as YOUR TELEPHONE SYSTEM and will make every effort to ensure that the ongoing operations of
YOUR TELEPHONE SYSTEM will be carried on in the spirit of its community origins more than 8 decades ago.
