reason many small owner-
run businesses fail is that
the owner did not look
critically enough at the
business before buying it.
No matter how enthus-
iastic you might, be about

must regard it first and
foremost as an investment,
ripe with promise but also
carrying at least the normal
risk associated with a
b-usiness venture.
Before you buy, get the
best professinal help you
can, from a lawyer, a
chartered accountant, a
banker and, if property is
involved, a realtor. There
are several different ways
of acquiring and valuing a
business, so don't try to go
it alone, especially if this is
your first business venture.
With the help of your
advisers, consider all
aspects of the business:
sales, products, assets,
personnel, location, man-
agement, contracts,
expenses, competition,
market and administration
and. accounting systems.
Why is the present owner
selling? Are any contracts
or agreements due to
expire? Why has 'it been
profitable, or unprofit-
able? Can its performance
be maintained or im-
proved?
A professional review of
the historical financial
statements is essential,
since they will allow you to
make a reasonable forecast
and draw up an operating
budget, probably the most
important tool in sound,
management. This in turn
will allow you to calculate
an estimate of your ex-
pected return on invest-
ment.
What this return should
be depends on the nature
of the business and the
amount of your invest-
ment, but it should be at
least the 10 per cent, or
so, you would get if you
just bought some bonds,
plus a factor for the greater
risk. And if you manage
the business, it should pay

Don't let your emotional
involvement of owning a
business interfere with
your better judgment of its
real prospects. If your
analysis reveals the bus-
iness is not a sound, solid
investment, pass it by and
look elsewhere. Success in
running your own business
